Australian IT services firm Atturra has announced plans to acquire Brisbane-based SAP partner DalRae Solutions, reinforcing its strategic ambition to build a strong presence in SAP consulting and implementation.

DalRae brings deep expertise in SAP’s Business Technology Platform (BTP), S/4HANA, and Clean Core methodologies, along with comprehensive experience in SAP Cloud and case management solutions. The firm is known for its focus on modernising enterprise systems through innovative, human-centric, and AI-powered approaches.

Atturra highlighted DalRae’s alignment with its existing SAP-focused services, which include infrastructure management, OpenText ECM integration, data services, and SAP-specific change and adoption programs. This move will deepen Atturra’s ability to provide full-scale enterprise solutions for public and private sector clients.

DalRae is a prominent name in the SAP ecosystem, recognised as the first recipient of SAP’s Business AI Award and a multiple-time winner of the SAP Industry Disruptor Award. The company is also a member of the global SAP AppHaus Network, where it supports government agencies, utilities, and complex mid-market organisations with a clean core strategy aimed at delivering tangible business outcomes.

“As a technology service provider with a strong track record of targeted and disciplined M&A, Atturra has consistently signalled its intention to establish a meaningful footprint in the SAP consulting and implementation space,”
said Atturra CEO Stephen Kowal.

“The proposed DalRae acquisition marks an important step in Atturra’s long-standing aspiration to expand meaningfully into the SAP ecosystem.

“By combining our national client footprint with the deep SAP expertise of the DalRae team, we are intending to significantly enhance our ability to deliver end-to-end enterprise solutions for our clients.”

The financial structure of the deal includes an upfront cash payment of $4.8 million, with a potential earn-out of up to $15.2 million contingent on performance benchmarks. These include meeting audited EBITDA targets and retaining key personnel across the 2025–2027 calendar years. The total consideration, both upfront and deferred, represents a valuation multiple of 6.15 times DalRae’s forecast EBITDA.

Subject to standard completion conditions, the acquisition is expected to be finalised by 30 June. Atturra forecasts the transaction will be earnings per share (EPS) accretive by the 2026 financial year.

With this acquisition, Atturra aims to accelerate its reach in the SAP landscape by integrating DalRae’s award-winning capabilities with its national delivery network, positioning the combined business as a more formidable player in Australia’s enterprise tech sector.
